About the Role

Reporting to the Head of Legal, the successful candidate will be responsible for providing a range of legal advice in a manner that protects stakeholders and balances legal risks with commercial priorities, across a wide range of business transactions.

Key Accountabilities:

  • Advise on Ultradata’s legal activities to protect its interests. Implement and manage internal controls to ensure no legal arrangements are breached
  • Ensure technical legal issues are identified and addressed
  • Draft, maintain and manage the release of a range of standard contracts including Software Licence and Maintenance Agreements, Consulting Agreements, Escrow, Confidentiality Agreements, Third Party Agreements, etc.
  • Manage the legal implications of new sales processes, contract renewals and contract variations
  • Review and negotiate contracts with third parties (eg suppliers, alliance partners, service providers etc)
  • Assist with the legal requirements relating to the implementation of new products and services
  • Manage the recommendation and execution of the contract process, including maintenance of the contract register and proactive approach in dealing with significant contract dates
  • Work with the Managing Director, Chief Business Officer and Chief Operating Officer in executing strategic or risk management projects (e.g. Acquisitions, Third-party alliances, etc.)
  • Manage, renew and negotiate all Ultradata leases
  • Proactively monitor new legislation or changes in legislation, which may affect Ultradata and its business. Advise relevant stakeholders as required
  • Maintain knowledge across various areas of law including contracts, intellectual property, trade practices, financial services regulation, HR, Corporation's Law, Privacy etc and when necessary request consultation with Ultradata’s appointed legal firm
  • Manage the protection and registration of Ultradata’s trademarks and domain names
  • Identify and assist in managing legal risks to the business
  • Initiate legal action as required and oversee defence of Ultradata in any legal action initiated against it, in conjunction with external legal advisers
  • Contribute to the preparation of a monthly legal report for the Chief Business Officer.

The ideal candidate

  • Must hold a Bachelor of Law or equivalent business/law degree and be admitted to practise law in Victoria
  • Must hold a current practising certificate
  • Must have at least five (5) years of corporate/commercial experience with a speciality in software contracts/IT law
  • Exposure to USA contract law would be highly valued given expanding marketing opportunities for the company in the USA.
  • Proven experience in a dynamic in-house legal function, dealing day-to-day with senior executives
  • Demonstrated capability in identifying and analysing the commercial and risk implications of complex legal/commercial business matters
  • Strong legal drafting and commercial negotiation skills
  • Understands legal and regulatory issues relating to Cloud hosting from a financial services perspective
  • Capacity to work independently
  • Permanent residency in Australia.
